END-USER LICENSE AGREEMENT
for SNMPinfo Software

IMPORTANT-READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you and SNMPinfo for the Professional version of SMICng, which includes computer software, associated literature, and "online" or electronic documentation ("SOFTWARE PRODUCT"). You must agree to be bound by the terms and conditions of this EULA to obtain a license to the SOFTWARE PRODUCT.

SOFTWARE PRODUCT LICENSE

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

1. GRANT OF LICENSE: This EULA grants you the following rights:
   * USAGE KEY. You are given an individual usage key ("USAGE KEY"), a coded phrase, that allows you to use the SOFTWARE PRODUCT for one (1) year from the date that the USAGE KEY was issued.
   * Updates. You may download updates, if any, to the SOFTWARE PRODUCT while your USAGE KEY is valid. Instructions for downloading the SOFTWARE PRODUCT and updates are given with your usage key assignment and may also be specified at the SNMPinfo WEB site with URL http://www.snmpinfo.com.
   * Storage/Use. You may install and use one copy of the SOFTWARE PRODUCT on a single computer at a single location.
   * Outputs. If the owners of your inputs to the SOFTWARE PRODUCT grant you sufficient rights, you may distribute the outputs, unmodified or after processing, from the SOFTWARE PRODUCT. However, no identifying marks may be removed by trivial processing of the output before distributing.
   
   You may only use the SOFTWARE PRODUCT for checking and processing Simple Network Management Protocol ("SNMP") Management Information Base ("MIB") modules and nothing in this EULA shall be interpreted or construed to grant you the right to use the SOFTWARE PRODUCT for any other purpose. SNMPinfo reserves all rights not expressly granted to you under this Agreement.
   
2. OWNERSHIP OF SOFTWARE: You have no ownership in the SOFTWARE PRODUCT. SNMPinfo and its suppliers retain all the rights, title, and ownership to the SOFTWARE PRODUCT and all subsequent copies of the SOFTWARE PRODUCT. This license is not a sale of the original SOFTWARE PRODUCT or any copy to you.
   
3. COPY RESTRICTIONS: Except for the right to make a single copy of the SOFTWARE PRODUCT solely for backup or archival purposes you may not copy the SOFTWARE PRODUCT. You may be held legally responsible for any copying or copyright infringement that is caused or encouraged by your failure to abide by the terms of this restriction.
   
4. USE RESTRICTION: You may not network the SOFTWARE PRODUCT or otherwise use it on more that one computer or computer terminal at the same time. You may physically transfer the SOFTWARE PRODUCT from one computer to another provided that the SOFTWARE PRODUCT is used on only one computer at a time. You may not use the SOFTWARE PRODUCT in any automation (such as Email or WEB based systems) that allows others to use the SOFTWARE PRODUCT. You may not distribute copies of the SOFTWARE PRODUCT to others. You may not reverse engineer, disassemble, decompile, modify, adapt, translate, or create derivative works based on the SOFTWARE PRODUCT. You may not rent, lease, or lend the SOFTWARE PRODUCT.
   
5. TRANSFER RESTRICTIONS: The SOFTWARE PRODUCT is licensed only to you and may not be transferred to anyone else without the prior written consent of SNMPinfo. Any unauthorized transfer of the SOFTWARE PRODUCT shall result in the immediate termination of this agreement and the license granted herein.
   
6. TERMINATION: This license is effective until terminated. This license will terminate automatically without notice from SNMPinfo and become null and void if you fail to comply with any provisions or limitations of this license. Upon termination, you shall destroy all copies of the SOFTWARE PRODUCT and USAGE KEY. All provisions of this agreement as to warranties, limitation of liability, remedies or damages, and ownership rights shall survive termination.
   
7. MISCELLANEOUS: This agreement shall be construed in accordance with the laws of the United States of America and the State of California and shall benefit SNMPinfo, its affiliates, and assignees. In the case of any permitted assignment or transfer of or under this agreement, this agreement or the relevant provisions shall be binding upon and inure to the benefit of the successors and assigns of the parties hereto.
   
8. DISCLAIMER OF WARRANTY: THE SOFTWARE COMES WITH NO WARRANTY. SNMPINFO DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SNMPINFO DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATION REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE PRODUCT IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE.

IN NO EVENT, SHALL SNMPINFO OR ITS EMPLOYEES, AGENTS, SUPPLIERS, OR CONTRACTORS BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE LICENSE GRANTED UNDER THIS AGREEMENT, OR FOR LOSS OF USE, LOSS OF DATA, LOSS OF INCOME OR PROFIT, OR OTHER LOSSES, SUSTAINED AS A RESULT OF INJURY TO ANY PERSON, OR LOSS OF OR DAMAGE TO PROPERTY, OR CLAIMS OF THIRD PARTIES, EVEN IF SNMPINFO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

ACKNOWLEDGMENT

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU ALSO AGREE THAT THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND SNMPINFO OR ANY REPRESENTATIVE OF SNMPINFO RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
